Consent

By submitting your phone number and email, you provide express written consent for KairosPal to contact you via calls, texts (SMS and MMS), and emails regarding our products and services, even if your number is listed on a Do Not Call registry. Consent can be withdrawn at any time by emailing support@kairospal.com. Message and data rates may apply. You also consent to our Privacy Policy.

General

KairosPal ("we," "us," or "our") owns and operates the website at kairospal.com, the dashboard at app.kairospal.com, and related services (collectively, the "Site"). By using the Site, you agree to be bound by these Terms of Service, the Privacy Policy, and any additional terms applicable to specific features or services.

We reserve the right to change these Terms of Service or to impose new conditions on use of the Site at any time. Updated terms will be posted on this page with a revised "Last updated" date.

Our Limited License to You

The Site, its content, and all materials (including AI-generated reports, content, signage, and analytics) are protected by copyright and intellectual property laws. You may download and print materials for your personal, internal business use only. No modification, reproduction, or distribution of materials is permitted without written authorization from KairosPal.

Your License to Us

By submitting material to the Site (including store data, product information, logos, and feedback), you represent that you own it or have the owner's consent and are at least 18 years old. You grant KairosPal a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use submitted content solely for the purpose of delivering and improving our services to you.

Platform Services & AI Agents

KairosPal provides 28 AI-powered services organized into 7 categories, including 14 autonomous AI agents that may take actions on your behalf (e.g., price adjustments, markdown settings, promotional content creation). By using our services, you acknowledge and agree that:

• AI agents operate within configurable autonomy levels (AUTO_EXEC, SUGGEST, INFORM) that you control
• Guardrails are in place ($500/day spending cap, ±10% price change limit, 24-hour rollback window) but are not infallible
• You are responsible for reviewing and approving AI-suggested actions before they are executed in SUGGEST mode
• KairosPal is not liable for business decisions made based on AI agent recommendations or autonomous actions
• AI-generated content (social media posts, blog articles, video scripts, signage) is provided for your use but should be reviewed before publication
• You may disable any agent at any time via the kill switch in Telegram or dashboard

Third-Party Integrations

KairosPal integrates with third-party services including but not limited to Square, Clover, DoorDash, Uber Eats, Google Business Profile, YouTube, and Telegram. By connecting these services:

• You authorize KairosPal to access and process data from these services
• You are responsible for maintaining valid OAuth credentials and authorizations
• KairosPal is not responsible for service interruptions, data loss, or changes by third-party providers
• Third-party terms of service and privacy policies apply in addition to ours

Disclaimers

THE INFORMATION, PRODUCTS, AND SERVICES OFFERED ON OR THROUGH THE SITE, INCLUDING ALL AI-GENERATED REPORTS, RECOMMENDATIONS, PRICING SUGGESTIONS, AND BUSINESS ANALYTICS, ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KAIROSPAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ROI estimates, savings projections, and revenue forecasts (e.g., "$50K–$120K+ annual value") are based on industry benchmarks from USDA, NRF, and FMI data and are not guaranteed outcomes. Individual results vary by store size, location, product mix, and market conditions.

KairosPal is not an investment advisory, accounting, or legal service. We do not offer or provide tax, legal, or investment advice. Consult appropriate professionals for such matters.

Subscription & Billing

KairosPal offers subscription plans (Starter, Growth, Pro) billed monthly or annually. By subscribing, you agree that:

• Subscriptions auto-renew at the end of each billing cycle unless cancelled
• You may cancel at any time through your dashboard; cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• We reserve the right to change pricing with 30 days' notice to active subscribers
• Free demo periods provide full Growth plan features for 30 days with no credit card required

Registration & Accounts

You must provide accurate and complete information during registration. If we have reasonable grounds to suspect that information is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account. You are responsible for maintaining password confidentiality and all activities under your account. Notify us immediately of any unauthorized use at support@kairospal.com.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL KAIROSPAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, INVENTORY LOSSES, PRICING ERRORS MADE BY AI AGENTS, OR MISSED BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER KAIROSPAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall KairosPal's total liability exceed the amount you paid for the service in the 12 months preceding the claim.

Termination

KairosPal may suspend or terminate your access at any time for violations of these terms, non-payment, or other reasons at our discretion. Upon termination, your right to use the Site and services ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted.

Refund Policy

Free demo accounts do not require payment and have no refund implications. For paid subscriptions, no refunds are provided for partial billing periods. If you experience a service issue, contact support@kairospal.com and we will work to resolve it or provide a credit at our discretion.

Copyright (DMCA)

If you believe content on the Site infringes your copyright, you may submit a DMCA takedown notice to support@kairospal.com including: identification of the copyrighted work, the infringing material and its location, your contact information, and a statement of good faith belief.

Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from these terms or your use of the Site shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. If any provision of these terms is found invalid, the remaining provisions shall continue in full force and effect.

Changes to Terms

KairosPal reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email or a prominent notice on the Site. Your continued use of the Site after changes constitutes acceptance of the updated terms.
